1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the BacklinkiQ platform, websites, and related services (“BacklinkiQ”, “we”, “us”, “our”).

By creating an account, accessing, or using BacklinkiQ in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the platform.

If you are using BacklinkiQ on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

These Terms apply to all users of the platform, including customers, organisation owners, team members, staff, contractors, and visitors.

2. Definitions

In these Terms:

  • “Account” – a registered user account on BacklinkiQ.

  • “Organisation” – a multi-tenant account representing a business or client entity.

  • “User” / “Customer” / “you” – the individual or legal entity using BacklinkiQ.

  • “Platform” / “Service” – the BacklinkiQ SaaS platform, including the BiQ Ai features, dashboard, APIs (if any), and related tools.

  • “Order” – a request for backlink services placed through the Platform.

  • “Backlink Services” – services including (but not limited to) Authority Links, Guest Posts, Citation Links, and SEO Articles.

  • “Subscription Plan” – a paid recurring plan (for example, SEO Plan, Agency Plan) that unlocks certain features such as BiQ Ai.

  • “Content” – any text, URLs, keywords, anchor text, instructions, data, or other materials submitted or uploaded by you.

  • “GSC” – Google Search Console.

  • “AI iQ / BiQ Ai” – AI-powered SEO insights, planner, reports, and related tools offered within the Platform.

Headings are for convenience only and do not affect interpretation. Singular includes plural and vice versa.

3. Eligibility & Account Registration

3.1 Eligibility

To use BacklinkiQ, you must:

  • Be at least 18 years old;

  • Have the legal capacity to enter into a binding contract; and

  • If acting on behalf of a business, be authorised to bind that business.

3.2 Account Creation

When creating an Account, you agree to:

  • Provide accurate, current, and complete information;

  • Keep your information up to date;

  • Keep your login credentials secure and confidential; and

  • Notify us immediately if you suspect unauthorised access to your Account.

You are responsible for all activities that occur under your Account.

3.3 Account Types

We may provide different types of Accounts, including:

  • Customer Accounts – for purchasing and managing Backlink Services and subscriptions.

  • Organisation Accounts – multi-tenant accounts for agencies, teams, and clients.

  • Staff/Admin Accounts – for internal use by our team or by invitation where applicable.

3.4 Suspension and Termination of Accounts

We may suspend or terminate an Account or Organisation, in whole or in part, if:

  • You breach these Terms or our policies;

  • We reasonably suspect fraud, abuse, or unlawful activity;

  • Payments are overdue or repeatedly fail; or

  • We are required to do so by law or a competent authority.

4. Access to the Platform & Use of Services

Support: The Company provides support for its themes as described in the Support and Updates policy. Support inquiries should be directed through our designated support channels.

Termination: The Company reserves the right to terminate or suspend your access to our Services at its discretion, without notice, for any violation of these Terms.

Changes to Terms: The Company may update these Terms from time to time. It is your responsibility to review the Terms periodically. Your continued use of the Services after any changes to these Terms constitutes acceptance of those changes.

5. Orders & Backlink Services

5.1 Order Placement

Orders for Backlink Services are placed through the Platform. You are responsible for providing accurate and complete information, including:

  • Target URLs

  • Anchor text

  • Niche and service selection

  • Any specific instructions or restrictions

By placing an Order, you offer to purchase the selected services subject to these Terms and the pricing displayed at the time of order.

5.2 Order Acceptance & Status

An Order is considered accepted when we confirm it via the Platform (for example, when status changes from “Draft” to “In Progress” or similar). We may decline Orders that:

  • Breach our acceptable use policy;

  • Relate to prohibited niches or unlawful content; or

  • Are technically or commercially unfeasible.

5.3 Delivery & Timeframes

We will use reasonable efforts to deliver services within any indicated timeframe. However, timeframes are estimates only and may vary due to:

  • Publisher and webmaster availability;

  • Editorial and quality checks;

  • External factors beyond our control.

Delays that occur despite reasonable efforts do not automatically entitle you to a refund.

5.4 Quality Standards & Limitations

We aim to maintain high standards for all Backlink Services. Unless explicitly stated otherwise in the Platform:

  • We do not guarantee specific metrics such as exact traffic levels, DA/DR scores, or Alexa/SEMrush/Moz/Ahrefs metrics.

  • We do not guarantee specific ranking improvements or SEO results.

  • We do guarantee that services will be delivered in line with the specification shown at order time (e.g. service type, agreed metrics, or categories where stated).

If we materially under-deliver against stated metrics (where metrics were expressly promised), we will, at our discretion, provide replacements, credits, or partial refunds.

5.5 Post-Delivery Changes & Revisions

We do not own or control the third-party websites where links may be placed. Once a link has been placed:

  • Post-delivery changes to URL, anchor text, or placement may not be possible, or

  • May incur additional charges due to third-party and internal costs.

Minor corrections can be requested within a short period after delivery (for example, 7 days); we will attempt to accommodate reasonable requests but do not guarantee approval.

6. Subscription Plans & BiQ Ai

6.1 Plan Types

We may offer one or more Subscription Plans, for example:

  • SEO Plan – for individual SEO professionals and smaller teams.

  • Agency Plan – for agencies and larger teams.

Full details of what each plan includes (for example: Insights, Planner, Reports, AI regenerations, seat limits, whitelabel options) are described on the pricing page within the Platform.

We reserve the right to modify, introduce, or withdraw plans at any time. Existing customers will be notified of material changes.

6.2 Subscription Term & Renewal

Subscriptions are billed on a monthly or annual basis (or as otherwise stated) and automatically renew at the end of each billing period unless cancelled in accordance with these Terms.

By starting a subscription, you authorise us (via Stripe or another payment provider) to charge the applicable fees on a recurring basis.

6.3 Trials

We may offer free or discounted trials. Unless otherwise stated:

  • Trials are available once per Organisation or user (we may restrict repeats).

  • At the end of the trial, your plan will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial ends.

  • We reserve the right to modify or withdraw trial offers at any time.

6.4 Upgrades & Downgrades

  • Upgrades take effect immediately, and any additional fees may be charged pro-rata for the remaining period.

  • Downgrades typically take effect at the next renewal date. You remain responsible for any charges up to that date.

We are not obliged to provide refunds for partial subscription periods.

7. Fees, Payment & Refunds

7.1 Pricing

Prices for Backlink Services and Subscription Plans are shown on the Platform in GBP (£) unless otherwise indicated. Prices are subject to change at any time; changes will not affect already-confirmed Orders or current prepaid subscription periods.

Taxes (including VAT where applicable) may be added and are your responsibility.

7.2 Payment Processing

Payments are processed securely via Stripe (or any other authorised payment processor). By providing payment details, you represent that:

  • You are authorised to use the payment method;

  • There are sufficient funds or credit to cover the transaction.

We do not store full card numbers on our servers.

7.3 Invoices & Records

Invoices are generated automatically for paid Orders and subscription charges. You can usually download invoices via your Account.

7.4 Refunds

Unless we state otherwise in a separate, published refund policy:

Refunds may be granted at our discretion only where:

  • We have not delivered services substantially in line with the agreed specification;

  • A technical or billing error on our side results in incorrect charges;

  • A duplicate payment is made.

Refunds will generally not be granted for:

  • A change of mind after Order confirmation;

  • Delays caused by factors beyond our reasonable control;

  • Services delivered according to the specification and plan;

  • Incorrect information or instructions provided by you.

7.5 Chargebacks

You agree to contact us first to attempt to resolve any billing issue. Unauthorised or unjustified chargebacks may result in:

  • Immediate suspension or termination of your Account or Organisation;

  • Referral of evidence of service delivery to the payment provider.

8. Third-Party Services & Integrations

8.1 Stripe, Google, and Other Providers

BacklinkiQ relies on third-party providers such as:

  • Stripe – for payment processing;

  • Google – for Google Search Console integration;

  • Hosting and infrastructure providers;

  • Email delivery services.

Your use of such third-party services may be subject to their own terms and privacy policies. We are not responsible for any third-party services or for changes made by them.

8.2 Google Search Console

Connecting GSC is optional. If you choose to connect:

  • You authorise us to access and process GSC data (such as clicks, impressions, queries, positions, and properties) to provide insights, analytics, and AI iQ features;

  • You can disconnect at any time;

  • We do not share your GSC credentials or raw data with unaffiliated third parties except as needed to provide the Service or as required by law.

You are responsible for maintaining the security and compliance of your Google account.


 

9. User Content

9.1 Ownership

You retain ownership of your Content, including URLs, anchor text, briefs, and data you upload or enter into the Platform.

9.2 Licence to Us

You grant us a worldwide, non-exclusive, royalty-free licence to:

  • Use, host, store, process, and display your Content as necessary to operate and improve the Platform;

  • Generate anonymised or aggregated analytics that do not identify you or your clients personally.

9.3 Your Responsibilities

You warrant that:

  • You have all necessary rights and permissions to provide Content;

  • Your Content does not infringe any third-party rights (including IP rights);

  • Your Content is not unlawful, defamatory, hateful, or otherwise objectionable;

  • Your Content complies with all applicable laws and regulations.

We may remove or refuse to handle Content that we reasonably believe breaches these Terms.

10. Our Intellectual Property

All intellectual property in the Platform, including:

  • Software code, architecture, and design;

  • User interface, branding, and visual design;

  • AI iQ / BiQ Ai models, logic, and outputs (excluding your raw data);

  • Documentation and internal tools;

is owned by BacklinkiQ (or its licensors).

You are granted no rights other than the limited licence described in Section 4. You must not:

  • Copy, modify, adapt, translate, or create derivative works of the Platform;

  • Reverse engineer, decompile, or attempt to derive source code (except where permitted by law);

  • Remove or obscure proprietary notices;

  • Use our trademarks without prior written consent.

11. Acceptable Use & Prohibited Activities

All intellectual property in the Platform, including:

  • Software code, architecture, and design;

  • User interface, branding, and visual design;

  • AI iQ / BiQ Ai models, logic, and outputs (excluding your raw data);

  • Documentation and internal tools;

is owned by BacklinkiQ (or its licensors).

You are granted no rights other than the limited licence described in Section 4. You must not:

  • Copy, modify, adapt, translate, or create derivative works of the Platform;

  • Reverse engineer, decompile, or attempt to derive source code (except where permitted by law);

  • Remove or obscure proprietary notices;

  • Use our trademarks without prior written consent.

12. Beta & Experimental Features

From time to time, we may provide access to early-stage, experimental, or beta features (including AI-related functionality).

Such features may:

  • Be offered for a limited time;

  • Be changed or withdrawn without notice;

  • Be less stable or accurate than standard production features.

Beta features are provided “as is” with no warranties. You use them at your own risk.

13. Confidentiality

Each party may receive confidential information from the other in connection with the Platform (for example: pricing, internal processes, or non-public data).

Each party agrees to:

  • Use the other party’s confidential information only to perform obligations under these Terms;

  • Protect it with at least reasonable care;

  • Not disclose it to third parties except to employees, contractors, or service providers under appropriate confidentiality obligations, or where required by law.

This obligation does not apply to information that is or becomes public (through no fault of the receiving party), was already known, was independently developed, or was lawfully received from a third party without confidentiality obligations.

14. Data Protection & Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

By using BacklinkiQ, you consent to our data practices as described in that policy.

Where you provide us with personal data of your clients or team members, you represent that you have the necessary rights and lawful basis to do so.

15. Service Availability, Security & Support

We will use reasonable efforts to:

  • Maintain appropriate technical and organisational measures to secure the Platform;

  • Provide support via the channels and hours indicated on the Platform;

  • Fix critical bugs and issues with reasonable speed.

However, we do not guarantee that:

  • The Platform will be error-free or uninterrupted;

  • All bugs or issues will be resolved within a specific timeframe.

You are responsible for maintaining your own backups of any reports, exported data, or other information that you wish to retain long term.

16. Disclaimers

The Platform and all services are provided “as is” and “as available”.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including (without limitation) warranties of:

  • Merchantability;

  • Fitness for a particular purpose;

  • Non-infringement;

  • Accuracy, reliability, or completeness of data or outputs.

In particular:

  • We do not guarantee specific SEO outcomes, rankings, traffic levels, or revenue;

  • We do not guarantee that search engine algorithms will behave consistently over time;

  • Metrics provided by third-party tools (e.g. Moz, Ahrefs, SEMrush) are estimates only.

17. Limitation of Liability

Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by negligence;

  • Fraud or fraudulent misrepresentation; or

  • Any other liability that cannot be excluded under applicable law.

To the fullest extent permitted by law:

  • Our total aggregate liability arising out of or in connection with the Platform (whether in contract, tort, negligence, or otherwise) shall be limited to the amount you have paid to us in the 12 months preceding the event giving rise to the claim;

  • We are not liable for indirect, consequential, or special losses, including (without limitation):

    • Loss of profits or revenue;

    • Loss of business, contracts, or opportunities;

    • Loss of data;

    • Loss of goodwill.

You acknowledge that the Platform is priced accordingly and that these limitations are a fair allocation of risk.

18. Indemnity

You agree to indemnify and hold BacklinkiQ and our directors, employees, and agents harmless from and against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your breach of these Terms;

  • Your misuse of the Platform;

  • Your Content (including infringement of third-party rights);

  • Any claim by a third party relating to your use of the Platform or Backlink Services.

19. Suspension & Termination

19.1 Termination by You

You may:

  • Cancel a Subscription Plan via your Account or by contacting support; and/or

  • Request closure of your Account.

Cancellation of a subscription generally takes effect at the end of the current billing period. You remain responsible for any charges up to that date.

19.2 Termination or Suspension by Us

We may suspend or terminate your access (Account, Organisation, or specific features) if:

  • You materially breach these Terms and fail to remedy within a reasonable period after notice;

  • You fail to pay fees when due;

  • We reasonably suspect fraud, abuse, or security issues;

  • We are required to do so by law or a competent authority.

Where reasonable, we will provide advance notice and an opportunity to export your data.

19.3 Effect of Termination

Upon termination:

  • Your right to access the Platform ceases;

  • Any outstanding invoices remain payable;

  • We may delete or anonymise your data after a reasonable retention period, subject to legal obligations.

Sections that by their nature should survive termination (including payment obligations, confidentiality, IP, limitation of liability, and indemnity) will continue to apply.

20. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of London, United Kingdom shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform, subject to any mandatory local consumer protection laws that apply.

We encourage you to contact us first to try to resolve any disputes informally.

21. Changes to These Terms

22.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or agreements referenced on the Platform, constitute the entire agreement between you and BacklinkiQ regarding the Platform and supersede all prior agreements or understandings.

22.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid one that most closely reflects the original intent.

22.3 No Waiver

A failure or delay by us to enforce any provision of these Terms is not a waiver of that provision or any other provision.

22.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time.

22.5 Force Majeure

We are not liable for failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including (without limitation) acts of God, natural disasters, war, government actions, labour disputes, internet or hosting failures, or attacks on our systems.

22.6 No Third-Party Rights

These Terms do not confer any rights on any third party, except as expressly stated.

22. Miscellaneous

We may update these Terms from time to time. When we do:

  • We will change the “Last Updated” date at the top; and

  • Where changes are material, we will provide additional notice (for example, via email or in-app notification).

If you continue to use the Platform after updated Terms take effect, you are deemed to have accepted them. If you do not agree to changes, you must stop using the Platform and may cancel your subscription.
